شركات الأشخاص هي الشركات التي تقوم على الاعتبار الشخصي، ويكون هذا الاعتبار هو العامل الأساسي للتعامل مع الشركة ، وعادة ما تتكون من عدد قليل من الأشخاص تربطهم صلة معينة كالقرابة أو الصداقة، ويثق كل منهم في الآخر وفي قدرته وكفاءته، لذلك يترتب في الأصل على وفاة أحد الشركاء أو الحجر عليه أو إفلاسه أو انسحابه حل الشركة وتنقسم شركات الأشخاص إلي : 1- شركة التضامن 2-شركة التوصية البسيطة . (لا يجوز أن يقل عدد الشركاء عن أثنين) ويتم تأسيسها بالهيئة وفقاً لأحكام قانون الاستثمار 72 لسنة 2017
People's companies are companies that are based on personal consideration, and this consideration is the basic factor in dealing with the company, and it usually consists of a small number of people linked by a certain relationship such as kinship or friendship, and each of them trusts the other and his ability and competence, so it essentially results in the death One of the partners, or his interdiction, or his bankruptcy, or his withdrawal, is the dissolution of the company. Individual companies are divided into: 1- The general partnership company. 2- The simple partnership company. (The number of partners may not be less than two) and the Authority shall be established in accordance with the provisions of Investment Law No. 72 of 2017

Basic requirements for establishing a company
لا يجوز أن يقل عدد الشركاء عن أثنين ولا يقل الحد الأدنى لرأسمال الشركة عن 300 ألف جنية
The number of partners may not be less th
an two, and the minimum capital of the company must not be less than 300 thousand pounds
المستندات المطلوبه لتاسيس شركه الاشخاص
Documents required to establish a partnership
1- صورة توكيلات من جميع الشركاء (الاطلاع علي الأصل) في حالة ما إذا تم التأسيس عن طريق وكيل.
يكون التوكيل منصوص فيه على تأسيس الشركات والتوقيع علي عقود التأسيس أمام الشهر العقاري، وفي حالة كون الوكيل أحد الشركاء تضاف عبارة التعاقد مع النفس والغير في تأسيس الشركات.
2- صور إثبات الشخصية (سارية واضحة) للشركاء (مع جواز طلب الاطلاع علي الأصل):
رقم قومي للمصريين
جوازات السفر للأجانب
3- صورة من كارنيه القيد في نقابة المحامين للمحامى الذي يقوم بالتصديق على العقد أمام نقابة المحامين. (محامى ابتدائي على الأقل ويكون كارنيه المحامى ساري حتى تاريخه)
4- نماذج التعريف بالمستثمر عن الشركاء الأجانب كمستند + صورتها علي CD
5- صور إثبات الشخصية (سارية واضحة) للوكيل (الاطلاع علي الأصل) :
رقم قومي للمصري
جواز السفر للأجنبي (يلزم وجود إقامة سارية)
6- وافقة الجهة المختصة إذا كانت أي من أغراض الشركة تستوجب الحصول علي موافقة خاصة بمقتضي أحكام القوانين المعمول بها (موافقة مسبقة).
7- في حالة وجود حصة عينية عند التأسيس :
تقديم تقرير تقييم الحصة العينية من أهل الخبرة من أصحاب المهن المنظمة بقانون وذلك بحسب طبيعة كل حصة.
8-في حالة تأسيس شركة أشخاص للعمل بنظام المناطق الحرة العامة وفقا لأحكام قانون الاستثمار رقم 72 لسنة 2017 تتطلب ذات المستندات سابقة العرض بالإضافة إلي :
استيفاء موافقة الهيئة قبل التأسيس وتصدر الموافقة من مجلس إدارة المنطقة الحرة المزمع إقامة المشروع بها.
9- في حالة تأسيس شركة أشخاص (واقع) نتيجة وفاة صاحب منشأة فردية تتطلب ذات المستندات سابقة العرض بالإضافة إلي :
مستخرج حديث من السجل التجاري للمنشأة الفردية .
تقديم شهادة وفاة صاحب المنشأة وإعلام وراثة متضمناً ورثة صاحب المنشأة .
في حالة ما إذا كان ضمن الورثة قصر يتم تقديم موافقة المحكمة على الإذن للقاصر بالدخول في تأسيس شركة من ماله الخاص المورث.
تقرير تقييم الأصول المادية الملموسة للمنشأة الفردية (أراضى - عقارات - مباني - آلات - معدات - مخزون) معتمداً من أهل الخبرة حسب طبيعة تلك الأصول ، مدعما بالمستندات المؤيدة للملكية .
تقديم أصل محضر اجتماع جماعة الشركاء بالشركة تحت التأسيس والمتضمن الموافقة على تقرير التقييم وتوزيع ناتج التقييم على الورثة وفقاً لإعلام الوراثة بالإضافة إلى الموافقة على أية بيانات أخرى للشركة تحت التأسيس .
1- A copy of powers of attorney from all partners (see the original) in the event that the establishment was carried out through an agent.
The power of attorney stipulates the establishment of companies and the signing of incorporation contracts in front of the real estate registry. In the event that the agent is one of the partners, the phrase “contracting with oneself and others” is added to the establishment of companies.
2- Copies of identification (valid and clear) for partners (with the possibility of requesting to see the original):
National number for Egyptians
Passports for foreigners
3- A copy of the Bar Association registration card of the lawyer who certifies the contract before the Bar Association. (At least a primary lawyer, and the lawyer’s card must be valid to date)
4- Investor identification forms for foreign partners as a document + a copy on CD
5- Photos of identification (valid and clear) for the agent (see the original):
National number for Egyptians
Passport for foreigner (valid residency required)
6- Approval of the competent authority if any of the company’s objectives require obtaining special approval in accordance with the provisions of applicable laws (prior approval).
7- In the event that there is an in-kind share upon incorporation:
Submitting an evaluation report on the in-kind share from experienced professionals who are professionals regulated by law, according to the nature of each share.
8- In the event of establishing a private persons company to operate under the public free zone system in accordance with the provisions of Investment Law No. 72 of 2017, the same documents previously presented are required, in addition to:
Obtaining the approval of the Authority before establishing it. Approval is issued by the Board of Directors of the free zone in which the project is planned to be established.
9- In the event of establishing a partnership (de facto) as a result of the death of the owner of a sole proprietorship, the same documents previously presented are required, in addition to:
A recent extract from the commercial register of the sole proprietorship.
Submitting a death certificate for the facility owner and a succession notice including the heirs of the facility owner.
In the event that the heirs include a minor, court approval must be submitted to authorize the minor to enter into establishing a company from his own inherited money.
An evaluation report on the tangible assets of the individual establishment (land - real estate - buildings - machinery - equipment - inventory), approved by experts according to the nature of those assets, supported by documents supporting ownership.
Submitting the original minutes of the meeting of the group of partners in the company under incorporation, which includes approval of the evaluation report and distribution of the evaluation result to the heirs in accordance with the inheritance notification, in addition to approving any other data for the company under incorporation.
