One person company
أحدث الأشكال القانونية للشركات فى القانون المصري ، استثناء من حكم المادة 505 من القانون المدني التى توجب ان تتكون الشركة من شريكين على الأقل ، يجوز لكل شخص طبيعي ، أو اعتباري في حدود الأغراض التي أنشئ من أجلها ، أن يؤسس بمفرده شركة من شركات الشخص الواحد ، وتكون هذه الشركة محدودة المسئولية.
The latest legal forms of companies in Egyptian law. As an exception to the provisions of Article 505 of the Civil Code, which requires that the company consist of at least two partners, every natural or legal person may, within the limits of the purposes for which it was established, establish a one-person company on his own. This company is limited liability.

Basic requirements for establishing a company
ألا يقل رأس المال عن ألف جنية مصري
The capital must not be less than one thousand Egyptian pounds
المستندات المطلوبه لتاسيس الشركه
Documents required to establish the company
1- شهادة عدم التباس الاسم معتمدة من السجل التجاري.
2- شهادة بنكية بإيداع كامل رأس المال ، و يراعي ألا يقل رأس المال عن ألف جنية مصري
3- في حالة قيام الشخص الاعتباري بتأسيس شركة الشخص الواحد يتم تقديم المستندات التالية :
* توكيل من الممثل القانوني للشخص الاعتباري.
* مستخرج حديث من السجل التجاري للشخص الاعتباري (الاطلاع علي الأصل)
4- إذا كان مؤسس الشركة أحد أشخاص القانون العام يجب الحصول علي موافقة رئيس مجلس الوزراء أو الوزير المختص بحسب الأحوال.
5- توكيل بتأسيس شركة الشخص الواحد ، سواء كان المؤسس شخص اعتباري أو طبيعي ويكون التوكيل منصوص فيه علي تأسيس الشركات والتوقيع علي عقود التأسيس أمام الشهر العقاري.
6- نماذج التعريف بالمستثمر عن صاحب الشركة أو المدير الأجنبي كمستند + صورتها علي CD
7- أصل مستخرج رسمي من سجل المحاسبين والمراجعين موجه لهيئة الاستثمار بما يفيد أحقية مراقب حسابات الشركة في مراجعة واعتماد ميزانيات شركات الأموال أول مرة ، أو أصل إقرار قبول تعيين في حال أن يكون قد تقدم بهذه الشهادة مسبقا للهيئة.
8- صور إثبات الشخصية للمؤسس (سارية واضحة) بعد الإطلاع علي الأصل.
* رقم قومي للمصري.
* جواز السفر للأجنبي.
9- صور إثبات الشخصية للوكيل (سارية واضحة) بعد الاطلاع علي الأصل
* رقم قومي للمصري
* جواز السفر للأجنبي (يلزم وجود إقامة سارية)
10- صورة من كارنية القيد في نقابة المحامين للمحامي الذي يقوم بالتصديق على العقد أمام نقابة المحامين. (محامي ابتدائي على الأقل ويكون كارنيةالمحامي ساري حتى تاريخه).
11- تحديد اسم وعنوان المستشار القانوني للشركة على ألا تقل درجة القيد عن محام استئناف.
12- موافقة الجهة المختصة إذا كانت أي من أغراض الشركة تستوجب الحصول علي موافقة خاصة بمقتضي أحكام القوانين المعمول بها (موافقة مسبقة).
11- في حالة وجود حصة عينية عند التأسيس :
* تقديم تقرير تقييم الحصة العينية من أهل الخبرة من أصحاب المهن المنظمة بقانون وذلك بحسب طبيعة كل حصة وإقرار المؤسس بالموافقة علي صحة التقييم.
12- في حالة تأسيس شركة الشخص الواحد للعمل بنظام المناطق الحرة العامة وفقا لأحكام قانون الاستثمار رقم 72 لسنة 2017 تتطلب ذات المستندات سابقة العرض بالإضافة إلي :
* استيفاء موافقة الهيئة قبل التأسيس وتصدر الموافقة من مجلس إدارة المنطقة الحرة المزمع إقامة المشروع بها.
- A certificate of no confusion in the name approved by the commercial registry.
2- A bank certificate with a full deposit of the capital, provided that the capital is not less than one thousand Egyptian pounds
3- In the event that a legal person establishes a one-person company, the following documents are submitted:
* Power of attorney from the legal representative of the legal person.
* A recent extract from the commercial register of the legal person (see the original)
4- If the founder of the company is a public law person, the approval of the Prime Minister or the competent minister must be obtained, as the case may be.
5- A power of attorney to establish a one-person company, whether the founder is a legal or natural person, and the power of attorney stipulates the establishment of companies and the signing of the incorporation contracts before the Real Estate Registry.
6- Investor identification forms for the company owner or foreign manager as a document + a copy on CD
7- An original official extract from the register of accountants and auditors addressed to the Investment Authority stating that the company’s auditor has the right to review and approve financial companies’ budgets for the first time, or an original acknowledgment of acceptance of appointment if he has previously submitted this certificate to the Authority.
8- Photos of the founder’s identity proof (clear and valid) after reviewing the original.
* National number for Egyptians.
* Passport for foreigner.
9- Photos of the agent’s identity proof (valid and clear) after reviewing the original
* National number for Egyptians
* Foreigner’s passport (valid residence permit required)
10- A copy of the Bar Association registration card for the lawyer who authenticates the contract before the Bar Association. (At least a primary lawyer, and the lawyer’s license must be valid to date).
11- Specify the name and address of the company’s legal advisor, provided that the registration level is not less than that of an appellate lawyer.
12- Approval of the competent authority if any of the company’s objectives require obtaining special approval in accordance with the provisions of applicable laws (prior approval).
11- In the event of an in-kind share upon incorporation:
* Submitting an evaluation report on the in-kind share from experienced professionals in professions regulated by law, according to the nature of each share and the founder’s acknowledgment of approval of the validity of the evaluation.
12- In the event of establishing a one-person company to operate under the public free zone system in accordance with the provisions of Investment Law No. 72 of 2017, the same documents previously presented are required, in addition to:
* Obtaining the Authority’s approval before establishing it. Approval is issued by the Board of Directors of the free zone in which the project is planned to be established.
