Establishing a sole proprietorship

المنشأة الفردية وهي تلك المنشأة التي يملكها فرد واحد يديرها بنفسه، ويحصل على جميع الأرباح، بجانب تحمله كل المسؤوليات وتعد هي التاجر الفرد في مفهوم المواد 10 ، 11 من قانون التجارة رقم 17 لسنة 1999 ويتم تأسيسها بالهيئة وفقاً لأحكام قانون الاستثمار رقم 72 لسنة 2017

A sole proprietorship is an establishment that is owned by a single individual who manages it himself, and receives all profits, in addition to bearing all responsibilities. It is considered an individual trader in the sense of Articles 10 and 11 of Trade Law No. 17 of 1999, and it is established in the Authority in accordance with the provisions of Investment Law No. 72 of 2017.

Basic requirements for establishing a sole proprietorship

The capital of a sole proprietorship is determined according to the desire of the establishment owner

المستندات المطلوبه لتاسيس منشاه فرديه

Documents required to establish a sole proprietorship

1 - صورة توكيل من صاحب المنشأة في حالة ما إذا تم التأسيس عن طريق وكيل (الاطلاع علي الأصل)

يكون التوكيل منصوص فيه على تأسيس الشركات.

2 - صور إثبات الشخصية (سارية واضحة) لصاحب المنشأة : (مع جواز طلب الاطلاع علي الأصل):

 رقم قومي للمصريين

جوازات السفر للأجانب

3 - صور إثبات الشخصية (سارية واضحة) للوكيل (الاطلاع علي الأصل)

رقم قومي للمصري

جواز السفر للأجنبي(يلزم وجود إقامة سارية)

4 - نموذج التعريف بالمستثمر عن صاحب المنشأة الأجنبي كمستند + صورتها علي CD

5 - موافقة الجهة المختصة إذا كانت أي من أغراض الشركة تستوجب الحصول علي موافقة خاصة بمقتضي أحكام القوانين المعمول بها (موافقة مسبقة).

6 - في حالة وجود حصة عينية عند التأسيس :

تقديم تقرير تقييم الحصة العينية من أهل الخبرة من أصحاب المهن المنظمة بقانون وذلك بحسب طبيعة كل حصة.

7 - في حالة تأسيس منشأة فردية للعمل بنظام المناطق الحرة وفقا لأحكام قانون الاستثمار رقم 72 لسنة 2017 تتطلب ذات المستندات سابقة العرض بالإضافة إلي :

في حالة منطقة حرة عامة : استيفاء موافقة الهيئة قبل التأسيس وتصدر الموافقة من مجلس إدارة المنطقة الحرة المزمع إقامة المشروع بها.

1 - A copy of a power of attorney from the owner of the establishment in the event that the establishment was carried out through an agent (see the original)

The power of attorney stipulates the establishment of companies.

2 - Copies of identification (valid and clear) of the facility owner: (with the possibility of requesting to see the original):

 National number for Egyptians

Passports for foreigners

3 - Photos of identification (valid and clear) for the agent (see the original)

National number for Egyptians

Passport for foreigner (valid residency required)

4 - Investor identification form for the foreign establishment owner as a document + its copy on CD

5 - Approval of the competent authority if any of the company’s objectives require obtaining special approval in accordance with the provisions of applicable laws (prior approval).

6 - In the event of an in-kind share upon incorporation:

Submitting an evaluation report on the in-kind share from experienced professionals who are professionals regulated by law, according to the nature of each share.

7 - In the event of establishing a sole proprietorship to operate under the free zone system in accordance with the provisions of Investment Law No. 72 of 2017, the same documents previously presented are required, in addition to:

In the case of a public free zone: the approval of the Authority must be obtained before establishment, and approval shall be issued by the Board of Directors of the free zone in which the project is planned to be established.
